General Information
These Terms and Conditions (“T&Cs”) govern membership with the Institute of Public Administration Australia (Victoria Division) Inc. “IPAA Victoria” ABN 49 012 662 86.
IPAA Victoria, is a not-for-profit membership organisation that represents the public purpose sector of the state of Victoria, Australia.
By becoming a member of IPAA Victoria, you agree to be bound by these T&Cs.
IPAA Victoria reserves the right to amend these T&Cs at any time, and any such amendments will be effective immediately upon publication on the IPAA Victoria website.
Membership Eligibility
Membership is open to individuals and organisations that are interested in, or involved in, public administration or the public purpose sector1 in Victoria, in accordance with the IPAA Victoria Constitution.
Membership is not open to any individual or organisation that has been convicted of a crime or declared bankrupt.
Membership applications are subject to approval by IPAA Victoria, in accordance with the IPAA Victoria Constitution.
IPAA Victoria reserves the right to refuse membership to any individual or organisation, at its sole discretion, without providing any reasons.
Rights and Responsibilities of Members
Members are entitled to participate in all offerings organised by IPAA Victoria, subject to availability and any additional fees that may apply.
Members have the right to vote at the IPAA Victoria Annual General Meeting and any other general meetings, in accordance with the IPAA Victoria Constitution.
Members are responsible for ensuring that their contact details, including email address, are up to date and accurate.
Members must comply with the IPAA Victoria Constitution, these T&Cs, and any other rules or policies that may be adopted by IPAA Victoria from time to time.
Membership Benefits
Members of IPAA Victoria are entitled to participate in all offerings.
Members of IPAA Victoria are entitled to receive regular communications and updates from IPAA Victoria regarding offerings, news, and other relevant information.
Members of IPAA Victoria are entitled to access members-only content on the IPAA Victoria website.
Members of IPAA Victoria may be eligible for discounts on certain IPAA Victoria offerings.
IPAA Victoria reserves the right to amend the membership benefits at any time, at its sole discretion.
Membership Fees
Membership fees are payable annually and are subject to change by IPAA Victoria at its discretion.
Membership fees are non-refundable.
Membership fees are due on the date specified by IPAA Victoria in the invoice, which will be issued at the time of membership application approval or renewal.
Failure to pay the membership fee within the specified time may result in the suspension or termination of membership, at IPAA Victoria’s sole discretion.
Membership Renewal
Membership is valid from 1 July until 30 June in that financial year.
Membership can be renewed automatically annually by paying the membership fee.
Renewal notices will be sent to members prior to the expiry of their membership.
If a member fails to renew their membership by the due date, their membership may be suspended or terminated, at IPAA Victoria’s sole discretion.
Member Conduct
Members are expected to always act in a professional and respectful manner, and to not engage in any conduct that may harm the reputation or interests of IPAA Victoria or its members.
Members are expected to comply with all applicable laws and regulations in relation to their membership of IPAA Victoria.
Members must not use their membership of IPAA Victoria for any improper purpose or in a manner that may bring IPAA Victoria into disrepute.
IPAA Victoria reserves the right to take disciplinary action against any member who breaches these conduct requirements, including but not limited to suspension or termination of membership.
Members agree to indemnify and hold harmless IPAA Victoria and its officers, directors, employees, agents, and representatives from any claims, actions, demands, or damages arising out of or in connection with any breach of these T&Cs by the member or any other act or omission by the member in relation to their membership of IPAA Victoria.
Members acknowledge that any breach of these conduct requirements may also result in liability for damages or other legal consequences.
Members agree to notify IPAA Victoria immediately of any breach of these conduct requirements by any other member, and to cooperate fully in any investigation or disciplinary proceedings undertaken by IPAA Victoria in relation to such breach.
Members acknowledge that IPAA Victoria’s decision in relation to any breach of these conduct requirements is final and binding.
Membership Termination
Membership may be terminated by either the member or IPAA Victoria at any time, for any reason, by providing 60 days written notice to the other party.
If a member wishes to terminate their membership, they must provide 60 days written notice to IPAA Victoria. Membership fees are non-refundable, and termination of membership does not relieve the member of any obligations to IPAA Victoria that arose prior to the termination of membership.
IPAA Victoria reserves the right to terminate a member’s membership, at its sole discretion, for any reason, including but not limited to a breach of these T&Cs, or any conduct that IPAA Victoria deems to be harmful to the organisation or its members.
In the event of termination, the member will not be entitled to a refund of any membership fees paid.
Intellectual Property
Members acknowledge that all intellectual property, including but not limited to trademarks, logos, and copyrighted materials, associated with IPAA Victoria are the property of IPAA Victoria.
Members may not use any intellectual property associated with IPAA Victoria without prior written consent from IPAA Victoria.
Members may use IPAA Victoria’s intellectual property solely for the purpose of promoting their membership of IPAA Victoria and must not use IPAA Victoria’s intellectual property in any way that suggests endorsement or sponsorship by IPAA Victoria of any product, service or activity.
Members agree to indemnify and hold harmless IPAA Victoria and its officers, directors, employees, agents, and representatives from any claims, actions, demands, or damages arising out of or in connection with any unauthorised use of IPAA Victoria’s intellectual property by the member.
Privacy
IPAA Victoria collects personal information from members to provide membership services and communicate with members.
IPAA Victoria will only use personal information for the purposes for which it was collected and will not disclose personal information to any third party without the member’s consent, except where required by law.
Members may access, update, or correct their personal information held by IPAA Victoria by contacting IPAA Victoria in writing.
Members may opt-out of receiving communications from IPAA Victoria at any time by contacting IPAA Victoria in writing.
Members acknowledge that IPAA Victoria may use de-identified data or aggregate data collected from members for research or analytical purposes, provided that such data cannot be used to identify individual members.
General Provisions
These T&Cs constitute the entire agreement between IPAA Victoria and the member, and supersede all prior understandings, agreements, or representations, whether oral or written.
If any provision of these T&Cs is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
These T&Cs are governed by and construed in accordance with the laws of the state of Victoria, Australia, and the parties submit to the exclusive jurisdiction of the courts of that state.
Any failure or delay by IPAA Victoria in enforcing any provision of these T&Cs does not constitute a waiver of that provision or any other provision.
IPAA Victoria may assign its rights and obligations under these T&Cs to any third party without the member’s consent.
The member may not assign their rights or obligations under these T&Cs without IPAA Victoria’s prior written consent.
These T&Cs bind and inure to the benefit of the parties and their respective successors and assigns.
IPAA Victoria is not liable for any loss or damage suffered by a member in connection with their membership of IPAA Victoria, except where such loss or damage arises as a result of the negligence or breach of these T&Cs by IPAA Victoria.
In no event will IPAA Victoria be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with a member’s membership of IPAA Victoria, even if IPAA Victoria has been advised of the possibility of such damages.
Members agree to indemnify and hold harmless IPAA Victoria and its officers, directors, employees, agents, and representatives from any claims, actions, demands, or damages arising out of or in connection with their membership.
By becoming a member of IPAA Victoria, you acknowledge that you have read, understood, and agreed to be bound by these T&Cs, the IPAA Victoria Constitution, and any other rules or policies that may be adopted by IPAA Victoria from time to time.
